13.1. This agreement enters into force on the effective date of the agreement and is valid for a period of five years, when regular online commercial production of one of the contract products begins after the entry into force of this Agreement, for a period of five years from the start of normal online commercial production of the contract products concerned. , unless production is delayed beyond three years from the date the agreement enters into force (i.e. the maximum period of eight years from the time the agreement comes into force and the terms of such an extension are used one year before the expiry of this agreement. However, the extension may be subject to the approval of the relevant government authorities. 5.1. During the terms of the agreement, the licensee communicates technical information and improvements to the licensee, with the exception of technical information and improvements that the donor is authorized to disclose to the licensee under contractual obligations arising from other donor agreements. Despite the above restrictions, the licensee confirms that the technical information provided by the licensee under this agreement is sufficient to enable the manufacture to complete contractual products and will enable the licensee to meet the objectives of this agreement. 3.1. During the duration of the agreement, the licensee receives the licensing staff for training at its factory in Germany. These personnel are trained by the licensee in the manufacturing and verification functions of the design of contract products and materials used in these products, as well as in the maintenance of facilities and equipment. The training is valid for periods and figures that can be agreed by the parties, but no more than twelve months of work in total.
The licensee strives to ensure that the licensee`s training in the above areas is sufficient to provide full competence in the relevant areas, so that they can ultimately perform these functions independently for the licensee. The taker seeks prior authorization from the relevant government authorities, if necessary, to delegate its staff to the licensee. 7.3. For the duration of the agreement, the licensee undertakes not to enter into a similar cooperation agreement with a third party for the manufacture of contract products in India, without the prior written consent of the licensee, whose authorisation cannot be unduly accepted. The know-how agreement can transfer the “knowledge” mentioned above to another person or company that will use it. The advantage of a know-how agreement lies in the fact that the party receiving this “set” of knowledge has a market gap with its competitors when it has access to information giving it a competitive advantage.
